Terms of Service Agreement

1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of Arythmatic’s SaaS Learning Management System (LMS) and Meeting App (“Services”). By registering an account or using the Services, you agree to these Terms. If you represent an organization, you bind that entity.

2. Eligibility and Accounts

You must be 18+ or have legal capacity. Accounts are for authorized users only. You agree to provide accurate information, maintain security, and notify us of breaches. We may suspend accounts for violations.

3. Subscriptions and Payments

Services are subscription-based. Plans include free trials, monthly/annual billing via Stripe and Razorpay Payment Gateways. Fees are non-refundable except as stated. Subscriptions auto-renew unless cancelled 7 days before renewal. Late payments incur 1.5% monthly interest. Price changes apply with 30 days’ notice.

4. License and Access

We grant a limited, non-exclusive, non-transferable license to access Services during your term. You may not reverse engineer, copy, distribute, or use for competing services. Uptime is targeted at 99% but not guaranteed.

5. User Content and Conduct

You retain ownership of uploaded content (e.g., courses, meeting recordings). You grant us a worldwide license to host and deliver it.

Prohibited:

• Illegal use
• Viruses or malicious code
• Spam or unsolicited messaging
• Harassment
• Intellectual property infringement

We may remove violating content without prior notice.

6. Intellectual Property

Services and all intellectual property belong to us. Feedback you provide is non-confidential and we may use it royalty-free.

7. Termination

Either party may terminate with notice. We may terminate for breach with 7 days to cure. Upon termination, access ends; you must delete data.

8. Limitation of Liability

To the maximum extent permitted, our liability is limited to 12 months’ fees paid. No indirect damages (e.g., lost profits). Services are provided “AS IS” without warranties.

9. Indemnification

You indemnify us against claims arising from your use, content, or violations of these Terms.

10. Governing Law and Disputes

Governed by the laws of India, courts in Hyderabad. Disputes shall be resolved via arbitration under the Indian Arbitration Act.

11. Changes

We may update these Terms with 15 days’ notice via email or in-app notification.
